Terms and Conditions

Effective Date: 7th June 2023

Welcome to CultMedia Video Production Pvt. Ltd. (“Company”, “we”, “us”, or “our”). You (“Client”) agree to the following terms and conditions by engaging with our services. Please read them carefully.

1. Services

CultMedia provides a range of video production services, including but not limited to:

  • Scriptwriting

  • Pre-production planning

  • Filming

  • Editing and post-production

  • Animation and visual effects

  • Stock footage and music licensing

  • Delivery of final video assets

The scope of work will be outlined in a mutually agreed-upon Service Agreement or Proposal before commencing the project.

2. Pricing and Payments

  1. Quotations:

    • All quotations are valid for 30 days from the issue date unless stated otherwise.

    • The pricing covers only the services explicitly mentioned in the proposal. Additional services will incur additional costs.

  2. Payment Terms:

    • 50% advance payment is required to confirm the project.

    • The remaining 50% is due upon completion and delivery of the project.

  3. Payment Methods:

    • Payments can be made via bank transfer, UPI, or other methods specified in the invoice.

  4. Late Payments:

    • Delayed payments may result in a 10% late fee per month on the outstanding balance.

3. Revisions

  1. CultMedia allows up to [two] revisions per project phase (e.g., scripting, editing). Additional revisions will be charged at (mutually agreed upon)

  2. Revision requests must be submitted within [7] days of receiving the draft deliverables.

4. Intellectual Property

  1. Ownership:

    • All final deliverables become the property of the Client upon full payment.

    • Raw footage, project files, and other materials remain the intellectual property of CultMedia unless explicitly purchased by the Client.

  2. Licenses:

    • CultMedia secures necessary licenses for stock footage, music, and other assets used in the project. The Client may not reuse these assets for purposes outside the agreed project.

  3. Footage Retention:

    • CultMedia will retain all raw footage for 60 days from the shooting date unless otherwise specified or agreed upon in writing.

    • After 60 days, CultMedia reserves the right to delete or archive the footage. Clients wishing to retain the footage must either specify this within 60 days or purchase the rights to the raw footage as per CultMedia’s pricing.

  4. Third-Party Content:

    • The Client is responsible for ensuring any content they provide (e.g., logos, footage, or music) does not infringe on third-party rights.

5. Client Responsibilities

  1. Provide timely feedback, approvals, and all necessary materials (logos, branding guidelines, scripts, etc.) to avoid delays.

  2. Appoint a primary point of contact to facilitate communication.

6. Timelines and Deadlines

  1. The project timeline will be outlined in the Service Agreement.

  2. CultMedia is not responsible for delays caused by:

    • Delayed client approvals or materials.

    • Unforeseen circumstances such as technical failures or acts of God.

7. Cancellation and Termination

  1. If the Client cancels the project:

    • Before pre-production: 20% of the total cost will be retained.

    • After production has commenced: 100% of the total agreed upon cost will be payable by the client.

  2. If CultMedia terminates the agreement due to Client misconduct or breach of terms, no refund will be issued.

8. Confidentiality

CultMedia agrees to maintain confidentiality concerning any proprietary information shared by the Client for the project. The Client must notify CultMedia if any aspect of the project is subject to a Non-Disclosure Agreement (NDA).

9. Liability

  1. CultMedia will not be held liable for:

    • Any indirect, incidental, or consequential damages arising from the use of our services.

    • Errors or delays caused by misinformation or incomplete details provided by the Client.

  2. In no case shall CultMedia’s liability exceed the total amount paid by the Client for the project.

10. Publicity and Portfolio Use

  1. CultMedia reserves the right to use completed projects in its portfolio, website, or promotional materials unless otherwise agreed in writing.

  2. The Client may opt out of such usage by notifying us in writing before the project’s completion.

11. Dispute Resolution

  1. Any disputes arising out of these terms shall be resolved amicably through negotiation.

  2. If unresolved, disputes will be subject to the jurisdiction of the courts in [Bangalore/Karnataka] or [Bengaluru/Karnataka], India.

12. Amendments

CultMedia reserves the right to update or amend these terms and conditions. Clients will be notified of any changes before they take effect.
